1. About CareNestLink

CareNestLink is a digital platform designed to help individuals, businesses, organizations, service providers, and customers manage, offer, book, coordinate, and deliver different types of services.

CareNestLink may include service booking tools, business management software, provider portals, customer portals, scheduling tools, payment features, document storage, communication tools, automation features, and AI-powered assistance.

CareNestLink may support multiple service categories over time, including but not limited to care services, home-care support, wellness services, household services, personal assistance, business services, professional services, and other service categories added in the future.

Some services may be provided directly by CareNestLink, while others may be provided by independent service providers, businesses, agencies, contractors, or professionals using the platform.

2. Eligibility

To use CareNestLink, you must be at least 18 years old and legally able to enter into these Terms.

If you use CareNestLink on behalf of a business, organization, agency, or other entity, you confirm that you have authority to accept these Terms on its behalf.

You agree to provide accurate and complete information and to use CareNestLink only for lawful purposes.

3. Accounts and Security

You are responsible for maintaining the confidentiality of your account login details and for all activity that occurs under your account.

You agree to:

• Keep your login information secure
• Provide accurate account information
• Update your information when needed
• Manage user access and permissions carefully
• Notify us immediately if you suspect unauthorized access

CareNestLink is not responsible for losses caused by your failure to protect your account or manage user access properly.

4. Platform Use

Subject to these Terms and payment of applicable fees, CareNestLink grants you a limited, non-exclusive, non-transferable license to access and use the platform for your personal, business, or organizational purposes.

You may not copy, resell, reverse-engineer, modify, misuse, or redistribute any part of the CareNestLink platform without our written permission.

CareNestLink may add, update, change, limit, suspend, or remove features, products, modules, or service categories at any time.

5. Bookings and Service Delivery

CareNestLink may allow users to request, book, manage, or provide services through the platform.

When making a booking or service request, you agree to provide accurate information, including service type, location, date, time, contact details, and any relevant instructions.

Service availability, pricing, provider assignment, timing, and completion may depend on location, provider availability, service category, and customer requirements.

CareNestLink does not guarantee that every booking request will be accepted, assigned, completed, or available in every area.

6. Independent Service Providers

Some services available through CareNestLink may be provided by independent service providers, contractors, professionals, agencies, or businesses.

Unless clearly stated otherwise, these service providers are not employees, agents, or representatives of CareNestLink.

Service providers are responsible for their own qualifications, licenses, insurance, conduct, service quality, legal compliance, and professional obligations.

CareNestLink may review, approve, suspend, or remove service providers from the platform, but we do not guarantee the performance, suitability, quality, or conduct of any independent provider.

7. Customer Responsibilities

Customers, clients, families, organizations, or service recipients using CareNestLink agree to:

• Provide accurate booking information
• Ensure the service location is safe and accessible
• Treat service providers respectfully
• Pay all applicable fees
• Cancel or reschedule according to applicable policies
• Obtain proper consent before entering another person's personal information into the platform

If you book a service for another person, you confirm that you have the authority or consent to do so.

8. Health, Care, and Wellness Services

CareNestLink may support care-related, wellness-related, home assistance, disability support, or health-support service categories.

Unless clearly stated otherwise, CareNestLink is a technology platform and does not provide medical diagnosis, emergency medical services, clinical treatment, or regulated healthcare advice.

Information on the platform is for booking, coordination, administration, and service management purposes only.

If you are experiencing a medical emergency or believe someone is in danger, contact emergency services immediately.

Service providers and organizations are responsible for complying with all applicable healthcare, privacy, licensing, insurance, employment, and professional requirements.

9. AI-Powered Features

CareNestLink may include AI agents, assistants, automation tools, or smart features to help users with support, bookings, summaries, workflows, messages, service management, and platform navigation.

AI-generated responses may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing and verifying AI-generated content before relying on it.

AI features do not replace professional, medical, legal, financial, emergency, or safety advice.

You should not submit unnecessary sensitive information into AI-powered tools unless it is required for the specific task or service.

10. Subscriptions, Payments, and Billing

CareNestLink may offer free, trial, paid, subscription-based, usage-based, or custom plans.

By selecting a paid plan, service, add-on, booking, or subscription, you agree to pay all applicable fees shown at checkout or agreed in writing.

Unless otherwise stated:

• Fees may be charged in advance
• Subscriptions may be billed monthly, yearly, or based on the selected billing cycle
• Taxes may apply
• A valid payment method may be required
• Additional users, records, modules, services, or add-ons may result in extra charges

Payments may be processed by third-party payment providers such as Square Inc. CareNestLink does not store full credit card numbers, CVV codes, or complete payment card details.

11. Automatic Renewal, Cancellation, and Refunds

Subscriptions may automatically renew unless cancelled before the renewal date.

By keeping an active subscription, you authorize CareNestLink or its payment processor to charge your payment method for renewal fees and applicable taxes.

You may cancel your subscription through your account dashboard or by contacting support@carenestlink.com.

Unless otherwise stated:

• Cancellation takes effect at the end of the current billing period
• No partial refunds are provided for unused time
• Trial users may cancel before the trial ends to avoid charges
• Downgrading may reduce access to features or data limits
• Some booking fees, setup fees, add-ons, custom work, or service charges may be non-refundable

Refunds may be provided where required by law or at CareNestLink's discretion.

12. User Content and Data

You retain ownership of the content and data you upload, submit, or enter into CareNestLink, including business records, customer information, booking details, files, logos, service notes, provider profiles, and communications.

By using the platform, you grant CareNestLink permission to host, store, process, transmit, back up, and use your content only as needed to provide, secure, support, and improve the platform.

You are responsible for ensuring that:

• You have the right to upload or enter the content
• The content is accurate and lawful
• You have obtained required consent before entering another person's information
• The content does not violate privacy, intellectual property, or other legal rights

13. Acceptable Use

You agree not to misuse CareNestLink. You must not:

• Use the platform for illegal, harmful, fraudulent, abusive, or deceptive activity
• Upload malware, viruses, or harmful code
• Access another user's account, workspace, or data without permission
• Interfere with platform security or performance
• Send spam or unlawful marketing messages
• Misrepresent your identity, qualifications, business, or services
• Provide services you are not legally allowed or qualified to provide
• Reverse-engineer, copy, scrape, or resell the platform
• Conduct security testing without written permission
• Use AI features to create harmful, illegal, misleading, or unsafe content

CareNestLink may suspend or terminate accounts that violate these Terms.

14. Third-Party Services

CareNestLink may use or integrate with third-party services, including payment processors, hosting providers, cloud storage providers, email providers, SMS providers, AI service providers, analytics tools, maps, calendars, or verification services.

Third-party services are governed by their own terms and privacy policies. CareNestLink is not responsible for third-party services we do not control.

15. Service Availability

We aim to keep CareNestLink reliable and available, but we do not guarantee uninterrupted, error-free, or secure access at all times.

The platform may be unavailable due to maintenance, updates, technical issues, third-party service failures, internet outages, security events, or circumstances beyond our control.

CareNestLink may modify, suspend, or discontinue any part of the platform at any time.

16. Intellectual Property

CareNestLink owns all rights to the platform, software, design, branding, trademarks, logos, content, workflows, technology, and related intellectual property.

You may not use CareNestLink's name, logo, branding, or platform materials without our written permission, except where allowed by law.

If you provide feedback or suggestions, you allow CareNestLink to use them without restriction or compensation.

17. Disclaimers

CareNestLink is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we disclaim all warranties, including warranties of accuracy, reliability, availability, fitness for a particular purpose, merchantability, non-infringement, and uninterrupted operation.

CareNestLink does not guarantee:

• That the platform will always be available or error-free
• That AI-generated content will be accurate or complete
• That a booking will be accepted or completed
• That a service provider will meet your expectations
• That any specific business, service, care, or financial outcome will occur

CareNestLink does not provide medical, emergency, legal, financial, tax, employment, or professional advice.

18. Limitation of Liability

To the maximum extent permitted by law, CareNestLink and its directors, officers, employees, contractors, affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, punitive, or similar damages, including loss of profits, loss of revenue, loss of business, loss of data, service interruption, personal injury, or property damage arising from your use of the platform.

CareNestLink's total liability for any claim related to these Terms or the platform will not exceed the amount you paid to CareNestLink in the three months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some limitations may not apply to you.

19. Suspension and Termination

CareNestLink may suspend, restrict, or terminate your access if:

• You violate these Terms
• You fail to pay fees
• You misuse the platform
• You provide false or misleading information
• Your activity creates legal, security, safety, or business risk
• Required by law, regulator, court order, or payment processor

You may stop using CareNestLink at any time. After cancellation or termination, your data may remain available for a limited period to allow export or migration, unless immediate restriction or deletion is required.

20. Indemnification

You agree to defend, indemnify, and hold harmless CareNestLink from claims, damages, losses, liabilities, costs, and expenses arising from:

• Your use or misuse of the platform
• Your violation of these Terms
• Your violation of applicable law
• Your content or data
• Your services or service delivery
• Your failure to obtain required consent
• Your dispute with another user, customer, organization, or service provider

21. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable in Ontario, without regard to conflict of law principles.

You agree that any dispute, claim, or legal proceeding arising out of or related to these Terms, the CareNestLink platform, or any CareNestLink service will be handled by the courts located in the Province of Ontario, Canada, unless applicable law requires otherwise.

For users, customers, organizations, or service providers located in the United States, these Terms will still be governed by the laws of Ontario, Canada, unless a separate written agreement or applicable mandatory law provides otherwise. Any U.S.-based use of CareNestLink must also comply with applicable federal, state, and local laws in the United States.

22. Changes to These Terms

CareNestLink may update these Terms from time to time.

If we make material changes, we may notify users by email, through the platform, or by posting a notice on our website.

Continued use of CareNestLink after updated Terms become effective means you accept the updated Terms.
